THE COLLABORATIVE COMMERCE NETWORK SERVICE IS PROVIDED ON THE FOLLOWING TERMS AND CONDITIONS. PLEASE READ THROUGH THEM CAREFULLY.
These terms and conditions (the "Terms") are the terms and conditions upon which iMediation Internet Services ("We"/"Us") provide the Collaborative Commerce Network (the "Service") located at comnet.ichannel.net. In using the service You agree to abide by all of these terms.
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING AND BEFORE USING THE Collaborative Commerce Network Program. BY CLICKING THE "I AGREE" BUTTON AND CONTINUING WITH THIS REGISTRATION YOU ACCEPT THE TERMS AND CONDITIONS.
NATURE OF THE SERVICE
The Service enables you to link your website to a third party merchant's ("Merchant") website as a web selling partner. There is no charge to You for using the Service. Collaborative Commerce Network are facilitators of the partnership, and are not a party to any contract between You and the Merchant.
RELATIONSHIP WITH MERCHANTS
Your affiliation to any Merchant will be subject to the terms and conditions agreed between You and the Merchant. In order to become a web selling partner of a Merchant, you will have to enter into a contractual relationship with the Merchant which will set out, amongst other things, commissions payable to You by the Merchant. You acknowledge that Collaborative Commerce Network shall not be a party to your contract with any Merchant, and assumes no responsibility for or liability in respect of that Merchant.
Collaborative Commerce Network has no control over, and assumes no responsibility for the payment of any commissions between the Merchant and Web selling partner. This is a contractual matter solely between Merchant and Web selling partner, and Collaborative Commerce Network accept no liability in respect of such sums.
Collaborative Commerce Network has no control over Merchant sites and has no responsibility for these sites or their content. In particular, without limitation, Collaborative Commerce Network make no warranty or representation as to the quality and/or suitability of any goods, services or content offered, provided or displayed by any Merchant site, nor do we make any warranty as to the fitness for purpose or otherwise of such items.
All dealing and use by You of Merchant sites is entirely at your own risk, and we expressly disclaim all warranties and liability in respect of such sites.
ROLE OF COLLABORATIVE COMMERCE NETWORK - DISCLAIMER
Collaborative Commerce Network provide the Service purely as facilitators of relationships between merchants and web selling partners.
The Service is provided on an "as is", "as available" basis, and we expressly disclaim to the extent allowed by law all warranties in respect of the Service, including without limitation warranties in respect of satisfactory quality and fitness for a particular purpose.
YOUR OBLIGATIONS
You accept full responsibility for your use and conduct on the Service, which must at all times be in accordance with the provisions of this Agreement.
You warrant that the website upon which You place a link through the Service (your "Site"):
- complies with all applicable laws and regulations;
does not infringe any copyright or other rights of intellectual property of a third party;
does not libel, defame, cause injury to, invade the privacy of or otherwise infringe or violate the rights of any person or third party;
does not contain any defamatory, pornographic, obscene or otherwise unlawful content; and
does not link directly to any material which is in breach of the provisions of this Agreement.
In submitting any material to Collaborative Commerce Network you grant to us the right to use such material for the provision of the Service.
You agree not to interfere with, disrupt or jeopardize the Service whether, without limitation, by uploading unreasonably or disproportionately large loads to our system; introducing any viruses, trojan horses, worms or similar devices into the Service; or intercepting or expropriating any system, data or personal information comprised in the Service.
You shall indemnify and keep Collaborative Commerce Network fully and effectively indemnified from and against all liability, loss, claims and expenses that may arise from (non-exhaustively) Merchants or recipients of the Merchants' goods and/or services which arise from your use of the Service or your Site.
AMENDMENT OF THIS AGREEMENT
We reserve the right to amend the provisions of this Agreement at any time. It is your responsibility to check whether this Agreement has been amended. Your continued use of the Service after any amendments to the provisions of this Agreement shall be deemed to be your binding acceptance of such amendments.
force majeure
We shall not be liable for any failure to perform any obligations under this Agreement if such failure results from any act of God or other cause beyond its reasonable control (including, without limitation, any mechanical, electronic or communications failure).

- 1. We may suspend or discontinue providing the Service to You with or without cause and without notice, and in our sole discretion. We may pursue any other remedy legally available to us if you fail to comply with any of your obligations hereunder.
2. Any failure by us to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.
3. You may not assign your rights or delegate your duties under this Agreement.
4. This Agreement constitutes the entire agreement between the parties with respect to the subject matter. All prior agreements, understandings, negotiations or representations, whether oral or in writing, relating to the subject matter are superseded and cancelled in their entirety.
5. If any provision of this Agreement is adjudged to be invalid, void, or unenforceable, the parties agree that the remaining provisions hereof will not be affected thereby, that the provision in question may be replaced by the lawful provision that most nearly embodies the original intention of the parties, and this Agreement will in any event remain valid and enforceable.
governing law and jurisdiction
6. Each arrangement made concerning the Service shall be deemed to have been carried out in the United States of America. This Agreement shall be governed by the laws of the United States and the parties submit to the exclusive jurisdiction of the courts of the United States.
